Due to the new changes in the Estonian Commercial Code, which came into force on 15.01.2018, any company whose board is located outside of Estonia is obliged to appoint a contact person to whom procedural documents and wills and orders intended for the company can be submitted.

According to the Commercial Code, only a notary, notary office, lawyer, law firm, certified public accountant, audit organisation, tax representative of a non-resident or a person offering services of trusts and commercial enterprises, designated in article 8 of the Law on combating money laundering and terrorist financing can be appointed as a contact person.

In case of non-compliance with this requirement of the Commercial Code, the holder of the Commercial Code will issue a deadline for the company to comply with this requirement, which cannot be shorter than one month but not longer than three months. If a contact person is not added after that time, the company will be removed from the register.
